Terms of Service

1. Introduction

Welcome to meraGPT (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the meraGPT website, including any content, functionality, and services offered on or through meragpt.com (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

To use the Service, you must be at least 13 years of age. If you are under 18, you must have parental consent to use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. User Content

Our Service allows you to create, share, and interact with AI agents and content (“User Content”). You are solely responsible for your User Content and the consequences of sharing it on the Service.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Service.

You represent and warrant that:

• You own or have the necessary rights to share your User Content;
• Your User Content does not violate the rights of any third party; and
• Your User Content complies with these Terms and applicable laws.

5. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates applicable laws or regulations;
• To transmit or create harmful content, including malware or viruses;
• To impersonate any person or entity;
• To engage in any activity that interferes with or disrupts the Service;
• To engage in any fraudulent activity or deceptive practice;
• To create or share agents designed to generate illegal, harmful, or offensive content;
• To scrape or collect data from other users without their consent; or
• To attempt to bypass any security measures of the Service.

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of meraGPT and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of meraGPT.

7. Subscriptions and Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the subscription fees indicated at the time of purchase, billed in advance on a recurring monthly basis through our payment processor, Stripe.

No refunds. All subscription fees are non-refundable. We do not provide refunds, credits, or prorated charges for partial billing periods, unused time, downtime, or features you choose not to use.

Cancellation and termination of hosted resources. You may cancel your subscription at any time through your account settings. When you cancel, your subscription remains active until the end of the current billing period, after which your account will be downgraded and any hosted resources provisioned on your behalf, including virtual machines, agent instances, stored data, files, credentials, and associated configurations, will be permanently terminated and deleted. It is your responsibility to back up or export any data before the end of the billing period. We are not liable for any data loss following termination.

Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled at least 24 hours before the renewal date.

Failed payments. If a renewal payment fails, we may retry the charge over a period of several days. If payment cannot be collected, we will suspend your subscription and may terminate your hosted resources without further notice. You will lose access to paid features and any associated data may be irretrievably deleted.

Immediate access; waiver of withdrawal right (EU/UK customers). By subscribing, you expressly request that the Service and any hosted resources be made available to you immediately upon purchase, and you acknowledge that you will lose any statutory right of withdrawal (including the 14-day cooling-off period under EU Directive 2011/83/EU and equivalent UK regulations) once the Service begins to be supplied.

Price changes. We reserve the right to change subscription fees upon at least 30 days’ notice. Continued use of the Service after a price change constitutes acceptance of the new fees. Existing subscribers may cancel before the change takes effect to avoid the new pricing.

Third-party costs. Some features require you to provide your own API keys for third-party services (such as Anthropic, OpenAI, or other model providers). You are solely responsible for all usage charges incurred under those keys. We do not bill, collect, or refund third-party usage costs.

8. AI-Generated Content

The Service utilizes artificial intelligence systems to generate content. AI-generated content may not always be accurate, complete, or appropriate. We do not guarantee the accuracy or reliability of AI-generated content.

You acknowledge that:

• AI systems can produce unexpected or unintended outputs;
• You should critically evaluate all AI-generated content;
• AI-generated content should not be solely relied upon for critical or consequential decisions; and
• You assume responsibility for how you use or rely on AI-generated content.

9. Limitation of Liability

In no event shall meraGPT, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any content obtained from the Service;
• Any AI-generated content or actions taken based on such content; or
• Unauthorized access, use, or alteration of your transmissions or content.

10. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them.

Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account from the account settings.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
